The rules of the
road, briefly.

These Terms of Service (the “Terms”) form a legal agreement between you and Beyond Offline, Inc. (“Beyond Offline,” “we,” “us”) governing your use of beyondoffline.comand any tools, content, or communications offered through it (together, the “Site”).

By using the Site, you agree to these Terms. If you don't agree, please don't use the Site. If you're using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms cover the public-facing parts of our website: marketing pages, the Online Revenue Potential Calculator, our inquiry form, our newsletter, and any blog or resource content we publish.

Paid client engagements (including storefront builds, marketing services, and care plans) are governed by a separate Master Services Agreement (MSA) and a Statement of Work (SOW) that you sign before work begins. In the event of a conflict between these Terms and your signed MSA, the MSA controls.

You may use the Site to:

• Read about our services and case studies.
• Use our calculators and tools to estimate outcomes for your own business.
• Contact us about working together.
• Subscribe to our newsletter and share its contents with attribution.

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Scrape, mirror, or otherwise reproduce substantial portions of the Site without written permission.
• Reverse-engineer, probe, or attempt to defeat the security of any part of the Site.
• Use the Site to send spam, malware, or unsolicited marketing.
• Resell or rebrand our calculators, frameworks, or written content without a written license.

Tools we offer on the Site (including the Online Revenue Potential Calculator) are provided for general planning purposes only. The outputs are estimates based on industry benchmarks and the inputs you provide. They are not a guarantee, projection, or financial forecast you should rely on for investment, lending, or other consequential decisions.

If you want a tailored forecast based on your actual data, book a strategy call and we'll prepare one under our MSA.

The Site, including its design, copy, photography, illustrations, calculators, frameworks, and code, is owned by Beyond Offline or its licensors and is protected by U.S. and international intellectual property laws.

We grant you a personal, non-exclusive, non-transferable, revocable license to access and view the Site for your own business or informational purposes. All other rights are reserved. The Beyond Offline name and logo are trademarks of Beyond Offline, Inc.

Quotations or excerpts of our written content are welcome with attribution and a link back to the source.

The Site may link to third-party websites or services. Those resources are provided for convenience; we don't control them and aren't responsible for their content, privacy practices, or availability. Following a link is at your own risk.

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, Beyond Offline disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We don't warrant that the Site will be uninterrupted, error-free, secure against every conceivable threat, or that the information on it is current or complete at any particular moment.

To the fullest extent permitted by law, Beyond Offline and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Site.

Our total liability for any claim arising out of or relating to your use of the Site is limited to one hundred U.S. dollars ($100). Some jurisdictions don't allow these limitations, in which case they apply to the maximum extent permitted by law.

You agree to indemnify and hold harmless Beyond Offline from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.

We may suspend or terminate your access to the Site at any time and for any reason, including suspected violation of these Terms. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, governing law) will survive.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. The latest version will always be posted at this URL with an updated effective date. Material changes will be highlighted at the top of the page for at least 30 days.
